1. Acceptance of Terms
By accessing or using Meridian Ads, including the website at meridianads.tech, the console, the control-plane API at api.meridianads.tech, the serve API at serve.meridianads.tech, or our SDKs, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the product.
If you use Meridian Ads on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Product
Meridian Ads is a real-time ad serving platform operated by Yelle Software. Publishers integrate a browser tag, SDKs, or signed HTTP to request ads for placements in their products. Advertisers create campaigns, upload creatives, and buy reach on prepaid CPM. Yelle Software provides moderation, billing, reporting, and payout infrastructure.
Meridian Ads is not an open auction, header bidding stack, or mediation platform in v1. Eligible paid creatives are ranked by remaining budget, pacing, priority, and frequency caps.
3. Accounts and Organizations
Console access requires authentication through Logto. An organization may act as an advertiser, a publisher, or both. You are responsible for activity under your account and for keeping API keys and secrets secure.
4. Prepaid Credits and Billing
Advertisers purchase prepaid USD credits through Stripe. Campaigns set a CPM. Each impression spends one thousandth of that CPM. Clicks are recorded for reporting but do not spend credits in v1. When an advertiser balance reaches zero, paid campaigns stop serving.
Credit packs are offered at $25, $100, and $500, with custom amounts and optional auto-reload when the balance drops under $10. House ads from Yelle Software do not decrement advertiser credits.
Refunds: Prepaid credits are generally non-refundable except where required by applicable law. Unused credits remain on the account until spent or the account is closed under these Terms.
Yelle Software is the merchant of record for advertiser credit purchases. Stripe processing fees are absorbed from Yelle Software's platform share.
5. Publisher Payouts
Publishers earn 60% of gross paid impression spend. House ads have zero spend and zero publisher payout. Accruals younger than 7 days are held and not cashable. Cash-out and the monthly scheduled transfer both require at least $25 available and an active Stripe Connect recipient account.
Payouts are made through Stripe Connect recipient Transfers in USD. Yelle Software remains merchant of record. Publishers are responsible for tax reporting on amounts received. Payout history is forward-only from account activation; we do not backfill historical ledger data.
6. Creatives and Moderation
Every creative must pass automated review before it can serve live. Supported formats in v1 are image banners and native text units with a working HTTPS destination URL. HTML5 and third-party ad tags are not supported.
Our worker fetches the destination, extracts page content, and sends copy (and images when present) to an automated moderator. Approval means the creative passed our policy checks at that time. It is not a legal opinion, endorsement, or guarantee that the advertised product complies with law in every jurisdiction.
Prohibited categories include, without limitation: illegal products and services, malware and phishing, hate and harassment, adult content, deceptive or misleading claims, spyware and stalkerware, and privacy abuse such as selling personal data as the product. The full policy set used by the moderator is versioned internally and may be updated. Material edits to an approved creative requeue review.
Yelle Software staff may override false rejects or grant policy exceptions. Overrides are audited. If the moderator is unavailable, creatives remain pending and are not auto-approved.
7. Publisher Duties
If you integrate as a publisher, you agree to:
- Send only
user_keyvalues andcontexttraits you are permitted to process under your own privacy obligations - Not place
user_keyor other end-user identifiers on advertiser landing URLs - Record an impression when a creative is rendered. The browser tag does this when it inserts the creative
- Honor end-user delete requests by removing profiles through the console or API
- Not send profiles for users you know are under 16
- If you use the browser tag, tell visitors that the site stores a random viewer id in a first-party cookie for 400 days, plus the browser language and a coarse device class, to choose and limit ads
- Keep HMAC SDK secrets off public pages and rotate compromised keys promptly. A web token may appear in HTML. It is limited to the origins you allow
8. Advertiser Duties
If you advertise through Meridian Ads, you agree to:
- Submit accurate creative copy and landing pages that match what was reviewed
- Comply with applicable advertising, consumer protection, and privacy laws
- Not attempt to deanonymize publisher end users through the click path or reporting
- Maintain sufficient prepaid credits for campaigns you intend to run
- Accept that live serve requires approval; preview in the console does not mean live eligibility
9. SDK License
Meridian Ads SDK source code is released under the MIT License. The hosted Meridian Ads service, console, APIs, and moderation pipeline are not open source and remain the property of Yelle Software. Use of the hosted service is governed by these Terms, not the MIT License alone.
10. No Guarantees
We do not guarantee fill rate, click-through rate, revenue, ranking position, or uninterrupted service. When no paid campaign matches, approved house ads from Yelle Software may fill. If no eligible creative exists, the serve API returns no fill (HTTP 204 or SDK null). Rate limits apply (for example 100 decisions per second per app key).
11. Prohibited Uses
You agree not to use Meridian Ads to:
- Violate any applicable law or regulation
- Infringe intellectual property or privacy rights of others
- Transmit malware, phishing pages, or harmful code through creatives or landing URLs
- Attempt unauthorized access to our systems, APIs, or other customers' data
- Circumvent moderation, billing, frequency caps, or rate limits
- Reverse engineer the hosted service except as permitted by applicable law
- Resell or sublicense the hosted service without written permission from Yelle Software
We may suspend or terminate access in response to prohibited use, policy violations, or risk to the platform.

13. Limitation of Liability
To the fullest extent permitted by law, Yelle Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Meridian Ads. Our total liability for any claims arising from these Terms or your use of the product shall not exceed the amount you paid to Yelle Software for Meridian Ads credits or services, if any, in the twelve months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Yelle Software and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of Meridian Ads, your creatives or landing pages, your publisher integrations, or your violation of these Terms.
15. Termination
We may suspend or terminate your access to Meridian Ads at any time, with or without cause or notice. You may stop using the product at any time. Upon termination, your right to use the service ceases. Unused prepaid credits are handled under Section 4 and applicable law. Provisions that by their nature should survive termination shall survive.
16. Changes to These Terms
We may update these Terms from time to time. The effective date at the top of this page will be revised when changes are made. Continued use of Meridian Ads after changes constitutes acceptance of the updated Terms. Material changes may be communicated via email or a notice in the console where appropriate.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Yelle Software operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of Meridian Ads shall be resolved in the courts of that jurisdiction.
